1. Acceptance of Terms

By accessing or using Artist Platform ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

Artist Platform is a B2B marketplace that connects artists, venues, and ticketing platforms for live event booking and management.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Be authorized to represent the artist, venue, or ticketing platform you register
• Provide accurate and complete registration information

3. User Accounts

3.1 Account Types

The Platform offers three types of accounts:

• Artist accounts - for musicians, bands, performers, and their representatives
• Venue accounts - for concert halls, clubs, festivals, and event spaces
• Ticketing Platform accounts - for ticket sales and distribution services

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Platform Services

4.1 Booking and Offers

The Platform facilitates the booking process between artists and venues through our offer system. Users can:

• Browse artist and venue profiles
• Send and receive booking offers
• Negotiate terms through counter-offers
• Accept or decline offers

4.2 Contracts

When an offer is accepted, the Platform generates a contract that both parties must approve and sign. Contracts are legally binding agreements between the parties.

4.3 Messaging

The Platform provides messaging functionality for communication between users regarding bookings and contracts.

4.4 Calendar Management

Users can manage their availability through the Platform's calendar system.

5. User Obligations

When using the Platform, you agree to:

• Provide accurate information in your profile and communications
• Honor accepted offers and signed contracts
• Respond to offers in a timely manner
• Not misrepresent your identity, qualifications, or authority
• Not use the Platform for any unlawful purpose
• Not interfere with the Platform's operation or security
• Respect intellectual property rights

6. Fees and Payments

Artist Platform may charge fees for certain services. Any applicable fees will be clearly disclosed before you incur them.

All payments between artists, venues, and ticketing platforms are handled directly between the parties. Artist Platform is not responsible for payment disputes between users.

7. Content and Intellectual Property

7.1 User Content

You retain ownership of content you upload to the Platform (photos, descriptions, rider documents, etc.). By uploading content, you grant Artist Platform a non-exclusive license to display and use that content for Platform operations.

7.2 Platform Content

The Platform's design, features, and functionality are owned by Artist Platform and protected by intellectual property laws.

8. Disclaimers

The Platform is provided "as is" without warranties of any kind. We do not guarantee:

• That users will fulfill their contractual obligations
• The accuracy of information provided by other users
• Uninterrupted or error-free service
• That bookings will result in successful events

Artist Platform acts as a facilitator and is not a party to contracts between users.

9. Limitation of Liability

To the maximum extent permitted by law, Artist Platform shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to:

• Lost profits or revenues
• Cancelled events or performances
• Disputes between users
• Breach of contract by other users

10. Dispute Resolution

Any disputes between users should be resolved directly between the parties. Artist Platform may, at its discretion, provide mediation assistance but is not obligated to do so.

Disputes with Artist Platform shall be resolved through binding arbitration in accordance with applicable laws.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. You may close your account at any time by contacting support.

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will remain in effect.

12. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the European Union and the applicable member state where Artist Platform is registered.
